Terms of Service
Effective date:
1. Your agreement with Riften
These Terms of Service govern your access to and use of Riften’s dashboard, APIs, and related services. By accepting these Terms through a sign-up flow or an agreement that incorporates them, you agree to be bound by them. “Riften,” “we,” and “us” mean Riften Inc., a Delaware corporation. “You” means the business customer using the services. Individuals access the services on that business’s behalf.
If you use the services for an organization, you must have authority to bind it. A separately signed agreement or order form controls where it conflicts with these Terms. A data processing agreement controls the processing of customer personal data where applicable.
2. Accounts and access
The services are for business customers and their authorized users, not personal or consumer use. Keep your account information accurate, protect credentials and API keys, and promptly report suspected unauthorized access. You are responsible for activity you authorize through your account. An organization’s administrators may manage access to its workspace.
3. The services
Riften provides model routing, evaluations, private models, synthetic datasets, and agent environments, as made available under your agreement. Documentation and order forms describe the services you purchase. References to planned capabilities do not commit us to a delivery date.
Riften may independently create and license synthetic datasets, simulated tasks, and training or evaluation environments to AI laboratories and other business customers. This activity does not grant Riften permission to use another customer’s submitted content. Any third-party materials or generation tools used in creating deliverables remain subject to their applicable rights and restrictions.
Purchases of datasets, training or evaluation environments, and custom deliverables are governed by a signed agreement, order form, or statement of work. That document must specify the deliverables, permitted uses, license duration, fees, and any delivery, acceptance, support, or exclusivity commitments. Rights to train, fine-tune, or evaluate models, modify or redistribute deliverables, and commercialize resulting models must be expressly stated in that document.
Preview or experimental features may change or be discontinued. Any service-level commitments, support obligations, dedicated infrastructure, or specific model configurations must be stated in your agreement.
4. Permitted use
Use the services only as authorized and in compliance with applicable law. Do not:
- Submit information you lack the right to use or disclose.
- Access another customer’s information, bypass access controls, or interfere with the services.
- Use the services to distribute malicious code, commit fraud, or violate others’ rights.
- Exceed agreed limits or use credentials that are not yours to use.
- Submit regulated or particularly sensitive information unless your agreement expressly permits that use.
These restrictions do not prohibit activities that applicable law makes non-waivable. Authorized security testing must follow the scope agreed with Riften.
5. Your content and model output
You retain your rights in the prompts, files, datasets, code, and other content you submit. You grant Riften permission to process that content to provide the services, follow your instructions, and meet the obligations in your agreement.
Riften does not claim ownership of your customer data. Rights in model output, customized models, and underlying third-party models are addressed in the applicable agreement and provider terms. Output may not be unique and may not qualify for intellectual-property protection.
Riften uses customer content for model training or customization only for that customer’s private models, within the scope of the customer’s agreement. Riften does not use that content to train shared models or models for other customers.
Customer content submitted to use the services is distinct from datasets and environments that Riften separately supplies under a purchase agreement. These Terms do not authorize Riften to sell or license your submitted content to other customers. A buyer’s rights to use separately supplied materials for model development are governed by its signed purchase agreement.
6. Providers and integrations
The services may send requests to model providers, inference providers, or integrations selected or authorized under your configuration. These include OpenAI, Anthropic, Fireworks AI, Baseten, and other inference providers serving open-source models, depending on the service and configuration. Applicable provider restrictions must be identified in the documentation or your agreement. You are responsible for services you connect using your own accounts and credentials.
7. Confidentiality and data protection
Each party must protect nonpublic information received from the other, use it only for the relationship, and limit disclosure to people or service providers who need it and are bound by appropriate confidentiality obligations. This does not cover information that is already public, independently developed, or lawfully received without restriction.
A party may disclose information when legally required, with advance notice where permitted. Customer personal data, retention, deletion, and security commitments are governed by the applicable agreement and data processing terms. The Privacy Policy describes personal information handled by Riften for its own purposes.
8. Subscriptions and other agreements
Model routing is offered on a subscription basis. Your subscription renews for successive billing periods unless canceled before renewal. The price, billing period, payment due dates, and any usage-based charges are disclosed at purchase or in your order form. You authorize recurring charges to your selected payment method under those terms. You are responsible for applicable taxes, excluding taxes on Riften’s net income. Pilots and other separately contracted services follow their own agreements, including their payment and cancellation terms.
You may cancel a routing subscription by emailing info@riften.ai or contacting your Riften representative. Cancellation takes effect at the end of the current paid period and stops further subscription renewal. Access continues through that paid period. Subscription fees are nonrefundable except where required by law or expressly agreed in writing. We will notify you of a subscription price increase before the renewal at which it takes effect, giving you an opportunity to cancel. We will not apply a price change retroactively to charges already incurred.
9. Evaluating output
Model output and evaluations can be incomplete or incorrect. Review results before relying on them or deploying generated code. You are responsible for deciding whether the services are suitable for your use and for any decisions or actions you take using the results.
Unless expressly agreed otherwise, the services are not designed to be the sole basis for decisions involving personal safety or legal, medical, or financial advice.
10. Suspension and ending access
We may restrict access when reasonably necessary to address a security threat, unlawful use, a material breach, or unpaid amounts due under your agreement. Where practical, we will explain the reason and give you an opportunity to resolve it. Restrictions should be proportionate to the issue.
When an authorized customer requests deletion of its workspace, Riften deletes its customer data from active systems within 30 days and removes residual backup copies within 90 days of that request, subject to the limited legal-retention exceptions described in the Privacy Policy. Deleting an individual user account does not delete the company’s shared workspace or its business content. Either party may terminate for a material breach that remains unresolved 30 days after written notice, unless the breach cannot be remedied or immediate termination is required by law. Termination does not cancel amounts already due. Any data-export rights follow the applicable agreement. Terms that by their nature must continue, including accrued payment obligations, confidentiality, and dispute provisions, survive termination.
11. Riften’s intellectual property
Riften and its licensors retain their rights in the services, software, documentation, trademarks, and underlying technology. Subject to these Terms and your agreement, Riften grants you a limited, nonexclusive right to use the services for your business during your subscription or agreed service term. Ownership and licensing of separately purchased deliverables, including custom work, are determined by the signed purchase agreement. That agreement also governs rights in resulting models and whether licensed rights continue after the service term ends. No other rights are transferred by these Terms. Third-party code, models, data, and assets remain subject to applicable licenses; restrictions affecting the agreed use of a deliverable must be disclosed in the purchase agreement or accompanying license schedule.
12. Warranties and disclaimers
Each party represents that it has authority to enter into this agreement. Except for express commitments in your agreement, and to the extent permitted by law, the services are provided “as is” and “as available.” Riften disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Riften does not guarantee uninterrupted or error-free operation, or the accuracy, uniqueness, or suitability of model output.
13. Limitation of liability
To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, or business opportunities, even if advised of their possibility.
Each party’s aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by you for the services giving rise to the claim during the 12 months immediately preceding the event giving rise to liability.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, your obligation to pay fees due, or liability that cannot lawfully be excluded or limited. A separately signed agreement may establish different limits or additional obligations.
14. General terms
Delaware law governs these Terms, excluding its conflict-of-laws rules. Unless a separately signed agreement provides otherwise, disputes will be brought in the state or federal courts in Delaware, and each party consents to their jurisdiction. Nothing in these Terms displaces rights that applicable law makes non-waivable.
Neither party may assign these Terms without the other’s written consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the successor assumes the obligations. These Terms do not create a partnership, agency, or joint venture.
If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. These Terms, together with applicable order forms and signed agreements, constitute the agreement concerning their subject matter. Provisions that by their nature should survive termination remain in effect.
15. Changes and contact
We may update these Terms. We will provide advance notice of material changes by email or through the services and identify their effective date. Changes will not alter accrued rights retroactively. Where required, we will obtain your agreement to the updated Terms.
